Sales Agent Terms & Conditions

1. Definitions

"Biznapoa" refers to Biznapoa Solutions, the provider of ERP and business software products. "Sales Agent" or "Agent" refers to the individual accepted into the Biznapoa Sales Agent Program. "Referral Code" is the unique code assigned to each Agent upon activation. "Commission" is the earnings paid at the rate defined in Section 4. "Earned Commission" refers to commission that has accrued from a confirmed payment and is available for withdrawal. "Successful Sale" means a Client referred by the Agent has made full or partial payment against a Biznapoa invoice and the payment has been confirmed.

2. Eligibility & Registration

2.1 You must be at least 18 years of age and legally capable of entering a binding agreement.

2.2 You must register through the official Biznapoa Sales Agent registration form and provide accurate personal information including your full name, email address, and phone number.

2.3 Biznapoa reserves the right to accept or reject any application at its sole discretion. Your Agent account becomes active only after review and approval by a Biznapoa administrator.

2.4 Upon activation you receive a unique Referral Code that identifies sales attributed to you.

3. Agent Obligations & Code of Conduct

3.1 You agree to represent Biznapoa professionally and honestly. You shall not make false or misleading statements about our products, pricing, or capabilities.

3.2 You shall not engage in spamming, unsolicited messaging, or any deceptive marketing practice to generate referrals.

3.3 You shall not impersonate Biznapoa or claim to be an employee. You are an independent contractor earning commission on sales you facilitate.

3.4 You shall not use paid search advertising that includes Biznapoa trademarks without prior written permission.

3.5 Violation of these terms may result in immediate deactivation of your Agent account and forfeiture of unpaid commissions.

4. Commission Structure

4.1 The standard commission rate is 10% of the invoiced amount on every Successful Sale attributed to your Referral Code, unless a different rate has been agreed in writing.

4.2 Commission is calculated on the amount actually paid by the Client. If the Client pays in instalments, each confirmed instalment earns the corresponding 10%.

4.3 Biznapoa reserves the right to adjust commission rates with 14 days' notice. Changes will be communicated via the Agent portal and email.

4.4 No commission is payable on sales that are later refunded, cancelled, or result in a chargeback. Biznapoa may deduct such amounts from future commissions.

4.5 Commission is credited to your Agent account only after Client payment has been confirmed by Biznapoa.

5. Withdrawals

5.1 You may request a withdrawal once your available balance reaches KES 100.

5.2 Withdrawals are processed via M-Pesa or bank transfer to an account in your name.

5.3 Withdrawal requests are reviewed and processed typically within 5 business days.

5.4 Biznapoa may request verification of your identity or payment details before processing a withdrawal.

5.5 You are responsible for the accuracy of the payment details you provide.

6. Referral Tracking

6.1 A referral is tracked when a prospective Client uses your Referral Code link to visit the Biznapoa website, or explicitly provides your Referral Code during the quotation or registration process.

6.2 Biznapoa will make reasonable efforts to attribute sales to the correct Agent. If a referral dispute arises, Biznapoa's decision is final.

6.3 A referral code remains valid for attribution for 90 days from the prospect's first tracked visit.

7. Confidentiality

7.1 You may receive information about Clients, pricing, or internal processes. You agree to keep such information confidential and use it solely for the purpose of facilitating sales as an Agent.

7.2 This obligation survives the termination of your Agent relationship.

8. Limitation of Liability

8.1 Biznapoa is not liable for any indirect, incidental, or consequential loss arising from your participation in the Agent Program.

8.2 Biznapoa's total liability to you under these terms is limited to the total commissions earned and unpaid at the time the liability arose.

9. Termination

9.1 Either party may terminate this agreement with 7 days' written notice.

9.2 Biznapoa may terminate immediately in the event of a material breach, fraudulent activity, or conduct that damages Biznapoa's reputation.

9.3 Upon termination, you may withdraw any Earned Commission still in your balance. Pending commissions not yet earned from confirmed payments will be forfeited.

10. General Provisions

10.1 These terms are governed by the laws of the Republic of Kenya.

10.2 Biznapoa reserves the right to amend these terms at any time. Continued participation after notice of changes constitutes acceptance.

10.3 If any provision is found unenforceable, the remainder remains in full effect.
